委托(tuo)書是(shi)股東(dong)委托(tuo)他人(其他股東(dong))代表(biao)自己在股東(dong)大(da)會上行使(shi)投票權的書面證明。

【委托書翻譯案例】

Letter of Authorization

I am xxx, one of the shareholders of xxx Co., Ltd.. My ID number is xxx. Because of the above company’s operational needs, we need to apply for the credit from Bank of China Limited. I hereby authorize xxx whose ID number is xxx to be my proxy, process a loan and sign relative documents which include but not limited to “Guarantee for the Upper Limit”, “Mortgage Contract for The Upper Limit”, “Shareholder Meeting Resolution “, “Specimen Signature”, and other relative documents. The range of assurance includes the principal, corresponding interest, default interest, penalty, and other payable expense and so on. The guarantee shall be in form of providing surety ship of joint and several liabilities, collateral mortgage. And the guarantee period will be two years (The secured debt to the date of expiration of the period is two years after the last term for performing.). This letter of authorization is valid for ten years.
